Terms of Service

These Terms of Service ("Terms") govern your use of StockBridge ("Service"), a Shopify application for multi-store inventory synchronization. By installing or using StockBridge, you agree to these Terms.

1. Service Description

StockBridge provides real-time inventory synchronization between multiple Shopify stores. The Service includes:

• Automatic inventory sync via Shopify webhooks
• SKU and barcode-based product mapping
• Sync rules and buffer stock management
• Activity logs and drift analytics
• REST API access (Business and Enterprise plans)

2. Eligibility

You must have an active Shopify store and comply with Shopify's Terms of Service to use StockBridge. By using StockBridge, you represent that you have the authority to bind your business to these Terms.

3. Billing & Plans

• StockBridge offers Free, Starter, Growth, Business, and Enterprise plans
• Billing is processed by Shopify Billing — charges appear on your Shopify invoice
• Paid plans are billed monthly or annually in advance
• The source store (the store that initiates sync connections) pays for the subscription
• Destination stores (receiving inventory) use StockBridge for free
• Plan upgrades take effect immediately. Downgrades take effect at the next billing cycle
• No refunds for partial billing periods unless required by law
• 14-day free trial available on paid plans (no credit card required)

4. Acceptable Use

You agree NOT to:

• Use StockBridge for any illegal purpose or in violation of Shopify's policies
• Attempt to reverse engineer, hack, or compromise the Service
• Use the API to make excessive requests that degrade service for other users
• Resell or sublicense access to StockBridge without written permission
• Use StockBridge to sync inventory for stores you do not own or have permission to manage

5. Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• Sync delays may occur due to Shopify API rate limits or third-party outages
• Enterprise plans include SLA guarantees — contact us for details

6. Data & Privacy

Your use of StockBridge is also governed by our Privacy Policy. We access your Shopify store data only as necessary to provide the Service. We do not sell your data.

7. Intellectual Property

StockBridge and all associated intellectual property (software, design, documentation) remain the property of StockBridge. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOCKBRIDGE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or data arising from use of the Service
• Inventory discrepancies caused by Shopify API errors, rate limits, or outages
• Damages exceeding the amount paid for the Service in the past 3 months

You acknowledge that inventory sync depends on Shopify's API and that StockBridge cannot guarantee perfect sync accuracy in all circumstances.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.

10. Termination

• You may cancel your subscription at any time by uninstalling StockBridge from your Shopify store
• We may suspend or terminate your access for violation of these Terms
• Upon termination, your data will be deleted within 48 hours per our Privacy Policy

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before changes take effect. Continued use of StockBridge after changes constitutes acceptance.

12. Governing Law

These Terms are governed by applicable law. Any disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.
